Consultancy Opportunity: Recruiting Independent Executive Committee Members for the KWCA Board 

 

Background 

The Kenya Wildlife Conservancies Association (KWCA) is a national landowner led membership organization, established in 2013 to serve the collective interests of over 200 community and private conservancies. KWCA works to create an enabling environment for conservancies to thrive by advocating for the right policies, laws and incentives and supporting them through information sharing, and capacity building. KWCA recognizes that conservancies represent a strong mechanism to promote wildlife stewardship and custodianship by local communities and landowners that share land with wildlife.

KWCA is committed to promoting and maintaining high standards of good corporate governance and corporate social responsibility to establish a long-term, transparent and accountable framework that benefits the organization and its stakeholders.

KWCA continues to develop and improve organizational policies to ensure we have the proper internal control mechanisms and are compliant with national and international laws and regulations guiding good corporate governance.

KWCA believes that good governance systems and processes are crucial for attaining organizational success and promoting equity and fairness for the greater good of the organization and stakeholders. KWCA is committed to assisting the National Conservancies Council (NCC) and staff with good corporate governance practices and exercising their responsibilities to serve the organization’s interests, members, and stakeholders.

KWCA’s strategic plan 2024-2030 prioritizes the securing of funding from diverse sources and improving KWCA’s governance. With this planned, there is a need to recruit and add onto the KWCA governance independent members who will form part of the executive committee. These members will come from diverse professional fields and will have experience in fundraising and be conservation minded.

 

Objective of the assignment 

KWCA is looking to acquire services from a firm/agency/individual to undertake the recruitment of six professional individuals who will form part of the Executive Committee of the KWCA Governance Structure.

 

Scope of Work 

The tasks are as follows;

1. Carry out a review of KWCA’s background documents including the Constitution and the Corporate Governance Manual.

2. Develop a Board Expression of Intent (EOI) to be approved by KWCA

3. Reach out to identified candidates and have them complete an Expression of Interest

4. Develop a skills matrix based on the criteria given, asses and interview the candidates to establish their skills, work experience and board suitability

5. Forward a list of names of the candidates who best meet the needs of the board together with their Curriculum Vitaes in a report with our recommendations to the board

6. Arrange for a formal meeting between KWCA and the preferred candidates. Upon appointment of the desired board members, communicate to the unsuccessful candidates of the conclusion of the process

 

Key Deliverables 

1. An EOI for review by KWCA

2. Completed EOI from potential Candidates

3. Skills matrix and respective Curriculum Vitae

4. List of 6 candidates

5. Meeting timetable for KWCA and desired board members

 

Required qualifications and skills 

The consultant must meet the following specifications:

1. An advanced degree in business, HR, social sciences, management or related subject

2. At least 5 years of professional experience in the recruitment of board members

3. Flexible, creative, detail-oriented and well organized

4. Ability to maintain the highest standards of confidentiality and professionalism and sound judgement

5. Strong communication and interpersonal skills

 

Submission of Proposal 

The proposal should demonstrate sound knowledge, technical skills and capacity as required by the nature of work of the assignment and understanding of the requisite tasks set forth in the scope of work.

Eligible consultants should submit the following;

1. Technical and financial proposals

2. Date and activity schedule

3. CV of designated personnel

4. Minimum of 2 recommendations from previous assignments

5. Company/Individual registration documents; Registration certificates, CR12 certificates, KRA certificates and Tax compliance Certificates
